Governance Crisis at Tata Sons: Trusts Call Chairman’s Reappointment a 'Legal Nullity'


Tata Trusts has escalated its boardroom dispute with Tata Sons, declaring the recent reappointment of Chairman N. Chandrasekaran legally void.

The friction intensified after the Tata Sons board utilized a tie-breaking casting vote to secure a five-year extension for Chandrasekaran.

While four directors backed the proposal, a critical split occurred among the two Tata Trusts nominees: Noel Tata voted against it, while Venu Srinivasan supported it.

Tata Trusts—holding a 66% stake—argued that Tata Sons' Articles of Association (AoA) explicitly mandate the affirmative backing of a majority of Trust-nominated directors.

Because the required majority condition failed, the Trusts asserted that a general casting vote cannot override constitutional minority-veto protections.

Furthermore, the Trusts accused Tata Sons of hypocrisy, noting the holding company previously defended these exact governance protections before the Supreme Court.
